Certify a Joint Venture

What is a DSLBD-certified joint venture?

A DSLBD certified joint venture (JV) is a combination of property, capital, efforts, skills, or knowledge of two or more businesses to carry out a single project. The association is limited in scope and duration. One or more of the businesses associated in a JV must be a certified business enterprise (CBE) and DSLBD determines the eligibility of a JV for certification on a contract-by-contract basis.

Important Notice: The Department does not certify joint ventures to meet small and certified business enterprise subcontracting requirements or to meet the small and certified business equity and development participation requirements. In addition, pursuant to DC Code §§ 2-218.02 (1D), (1E) and 2- 218.39a, a DSLBD certified joint venture is not a CBE and cannot be formed for CBE set-aside opportunities.

 

The benefit of forming a joint venture

DSLBD’s JV program allows certified joint ventures to receive preference when responding to open marketing procurement opportunities.

 

Submission review timeline

The timeline for making a final determination on a JV submission is typically three weeks.

 

How to apply 

To apply for DSLBD’s JV program, the following documents must be submitted to DSLBD via email to the attention of DSLBD's Certification Division, [email protected] for review:

  1. Executed JV Agreement between companies; 
  2. Executed Addendum to the JV Agreement (see Exhibit 1);
  3. Work performance and Labor and Profit breakdown spreadsheet (see Exhibit 2);
  4. Resumes for the key personnel of the joint venture;
  5. The most current audited or reviewed financials for the non-CBE member(s); 
  6. Documentation demonstrating past project performance of the businesses within the JV. Each member must demonstrate that the JV has the competence and expertise necessary to perform the type of work in connection with the opportunity the joint venture wishes to be certified (i.e., a list of past or current projects that are similar to the project scope of the opportunity the JV wishes to pursue);
  7. Proof of bonding capacity for each member of the JV (i.e., a letter from the bonding company that details on a single level what each party can bond).  The CBE partner needs to demonstrate the ability to bond the percentage of the contract amount that is commensurate with their percentage interest in the JV (e.g., a 51% joint venture member needs to demonstrate the ability to bond at a minimum of 51% of the contract amount)—if applicable;
  8. The bid bond (in the name of the JV) - if applicable;
  9. A copy of the solicitation the JV wishes to pursue; and
  10. Any other agreements between the parties regarding the operations of the JV.

If my joint venture is approved, can I use the determination letter for another project? 

An approval issued to a JV shall be nontransferable and shall expire upon the completion or termination of the contract or any extensions thereof.
